It is strongly recommended that you read and understand these Terms of Use carefully, as by accessing this, you agree to be bound by the same and agree that it constitutes an agreement between you and the Company. If you do not agree with this User Agreement, you should not use or access our software, mobile app or its services for any purpose whatsoever.

This document is published in accordance with the provisions of Rule 3 of the Information Technology (Intermediaries Guidelines) Rules, 2011. The User Agreement may be updated from time to time by the Company without any notice. It is therefore strongly recommended that you review the User Agreement each time you access and/or use our software application or any other mobile application and its services.

The terms ‘visitor’, ‘user’, ‘you’ hereunder refer to the person visiting, accessing, browsing through and/or using our software application or any mobile application at any point in time.

The VHS SOFTWARES is a sofware company which provide diffrent type of sofware solution and mobile application and other services for users to transact with third parties, who are granted access to the software application or moble application.

The Company therefore disclaims all warranties and liabilities associated with any products offered.

VHS SOFTWARE Services are available only in India.

Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc.are not eligible to use any of our application or services.

The Company reserves the right to terminate or refuse your registration, or refuse to permit access to the sofware application or any mobile application provided, if: (i) it is discovered or brought to notice that you do not conform to the aforesaid criteria, or (ii) the Company has reason to believe that the eligibility criteria is not met by a user, or the user may breach the terms of this User Agreement.

The Company grants you a limited sub-license to access and make personal use of the software solution and any mobile application, but not to download (other than page caching) or modify it, or any portion of it, except with express written consent of the Company. Such limited sub- license does not include/permit any resale or commercial use of the our software application or our mobile application or its contents , any collection and use of any product any portion of it may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of the Company. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images,text, page layout, or form) of the software or mobile app of the Company and/or its affiliates without the express written consent of the Company. You may not use any meta tags or any other “hidden text” utilizing the Company’s name or trademarks without the express written consent of the Company. You shall not attempt to gain unauthorized access to any portion or feature of the software or our mobile app, or any other systems or networks connected to it or to any server, computer, network, or to any of the services offered on or through the software or our mobile appplication , by hacking,‘password mining’ or any other illegitimate means.

You hereby agree and undertake not to host, display, upload, modify, publish, transmit, update or share any information belongs to another person and to which you do not have any right.

Any unauthorized use shall automatically terminate the permission or license granted by the Company.

All users have to register and login for using the software or mobile application.

As part of the registration process on the mobile application, the Company may collect the following personally identifiable information about you: Name – including first and last name, email address, mobile phone number and other contact details, demographic profile (like your age, gender, occupation, education, address etc.) and information about the pages on the mobile application you visit/access, the links you click on the our website or mobile aplication, the number of times you access a particular page/feature and any such information. Information collected about you is subject to the Privacy Policy of the Company , which is incorporated in these Terms of Use by reference.

You acknowledge that the Software and its structure, organization, and source code contain valuable trade secrets of VHS Accordingly, you agree not to (a) modify, adapt, alter, translate, or create derivative works from the Software; (b) merge the Software with other software;(c) sublicense, lease, rent, loan, or otherwise transfer the Software to any third party; (d) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Software; (e) use the Software in any service bureau or time sharing arrangement; or (f) otherwise use or copy the Software except as expressly permitted.

VHS, and any and all accompanying software or mobile app, files, data and materials, are distributed and provided “AS IS” and with no warranties of any kind, whether express or implied. It simply runs external programs that claim to perform this function. You acknowledge that good data processing procedure dictates that any program, including VHS software application and mobile application , must be thoroughly tested with non- critical data before you rely on it, and you hereby assume the entire risk of using the program. This disclaimer of warranty constitutes an essential part of this License.

The express warranty stated in this section, the software is provided "AS IS." VHS disclaims all other warranties, whether express, implied, or statutory, regarding the software and the documentation, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement of third-party rights.

In no event will VHS be liable to you for any Consequential,incidental, special, exemplary or indirect damages (including Damages for loss of business profits, business interruption, loss of business information, and the like) arising out of or relating to the use of or inability to use the software or the documentation even if VHS knew or should have known of the possibility of such damages. VHS total cumulative liability arising from or relating to this agreement, the software, or the documentation, whether based in tort, contract, or otherwise will not exceed the amount of fees paid for the software or any mobile application or any service. These limitations of liability will only be given only if the warranty provided is effective. Any liability of VHS Softwares will be limited exclusively to refund of purchase price, If any, in addition, in no event shall VHS Softwares or its principals, shareholders, officers, employees, affiliates, contractors, subsidiaries, or parent organizations, be liable for any indirect, incidental, consequential, or punitive damages whatsoever relating to the use of VHS Products, or to your relationship with VHS Softwares.

VHS offers for purchase various support and maintenance services for the Software, provided that if the Software is an add-on software which provides additional functionalities to be used with any Retrospect software application or mobile application, then the same support and maintenance service for the Retrospect software or mobile application must also be purchased. The support and maintenance services (“Support Services”) offered by VHS as of the copyright date of this Agreement are Annual Support, Annual Support and Maintenance, and Extended Annual Support. You may purchase Annual Support and Maintenance at the time you acquire the Software. You may purchase Annual Support or Extended Annual Support at any time. From time to time, VHS may add new Support Services or remove existing Support Services, and VHS may amend the terms and conditions of any Support Services. Up to date information on Support Services offered by VHS, features of each of these Support Services, and the terms and conditions of these Support Services are described on www.vhssoftwares.com. VHS will provide to you the Support Service for the Software in accordance with the terms and conditions in effect at the time you purchase the Support Service, and for each year that you pay for such Support Service.
